Terms of Service

1. About these terms

Chatref is an AI chatbot platform. You upload your docs, websites, or knowledge base, and Chatref builds an agent that answers questions grounded in that content.

These Terms of Service (the "Terms") are a legal agreement between you and Lemaistre Lab Technologies LLP ("Chatref", "we", "our", "us"). They cover chatref.ai, app.chatref.ai, and any service we run under the Chatref brand (the "Services").

By creating an account or using the Services, you agree to these Terms. If you are using Chatref for an organisation, you confirm you have authority to bind that organisation.

2. Your account

2.1 Eligibility

You must be at least 16 years old to use Chatref. The Services are not intended for children.

2.2 Account security

You are responsible for keeping your login credentials safe and for all activity under your workspace. Tell us at hello@chatref.ai if you suspect any unauthorised access.

2.3 Your content and its legality

You own the content you upload to train your agent, and you are responsible for it. By uploading content, you confirm that:

• You have the rights to use it, and it does not infringe anyone else's intellectual property.
• It does not contain personal health information or other sensitive personal data unless we have a signed data processing agreement in place.
• It is not unlawful, deceptive, or harmful.

We may remove content or suspend a workspace that breaks these rules.

3. Acceptable use

You agree not to:

• Use Chatref for anything illegal, fraudulent, or harmful
• Attempt to reverse engineer, scrape, or resell the Services
• Overload, probe, or interfere with our infrastructure or security
• Use the Services to generate spam, malware, or abusive content

4. Fees and payment

Chatref runs on a pay-as-you-go model. There are no subscriptions, no order forms, and no auto-renewals.

• Free credit. New accounts receive $50 in free credit on signup.
• Coins. Usage is metered in coins. Each chatbot response costs 1 to 5 coins depending on length and complexity.
• Top-ups. When you need more, you buy a coin top-up. Top-ups are one-time charges. We never charge you on a recurring schedule.
• Payment processing. All purchases are sold and processed by Paddle, our Merchant of Record. Paddle is the authorised reseller and seller of record for your purchase, and Chatref does not store your card details. Your purchase is also subject to the Paddle Buyer Terms.
• Taxes. Paddle, as Merchant of Record, calculates, collects, and remits any applicable sales tax or VAT at checkout.
• Price changes. We may change pricing or the coin rate. Changes apply only to future top-ups, and we will give notice in advance.

5. Service availability

We work hard to keep Chatref running, but the Services are provided on an "as available" basis. We may carry out maintenance, update features, or change parts of the Services over time. We do not guarantee uninterrupted uptime unless you have a separate written service-level agreement with us.

6. Intellectual property

6.1 Our platform

Chatref, including its software, design, and brand, belongs to Lemaistre Lab Technologies LLP. These Terms do not grant you any rights to our platform beyond using the Services.

6.2 Your content

Your content and the agent you build from it remain yours. You grant us only the limited rights needed to host, process, and run your agent on your behalf.

6.3 AI output disclaimer

Chatref generates answers using AI. We do not guarantee that any answer is accurate, complete, or suitable for a particular purpose. You are responsible for the outputs your chatbot shows to your end users, including reviewing and configuring your agent before you deploy it. Do not rely on AI output for legal, medical, financial, or other professional advice.

7. Privacy and data protection

Our Privacy Policy explains how we handle data. If your use of Chatref requires a data processing agreement, email hello@chatref.ai and we will provide one.

8. Third-party services

Chatref relies on third parties such as AI model providers, hosting, and payment processors to deliver the Services. Your use of the Services through these providers is also subject to their terms. We are not responsible for third-party services we do not control.

9. Term and termination

• You may stop using Chatref and close your workspace at any time.
• We may suspend or terminate your access if you breach these Terms or use the Services in a way that creates risk for us or others.
• On termination, your right to use the Services ends. Data deletion follows the timelines in our Privacy Policy.

10. Disclaimers and limitation of liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, Chatref's total liability for any claim arising out of or relating to the Services is limited to the total fees you paid to Chatref in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages, or for lost profits or data.

11. Indemnification

You agree to defend and indemnify Chatref against claims, losses, and costs arising from your content, your use of the Services, or your breach of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of India. The courts located in India have exclusive jurisdiction over any dispute arising from these Terms or the Services.

13. Changes to these terms

We may update these Terms as the Services evolve. Material changes will be announced by email or an in-product notice. The "Last updated" date at the top always reflects the current version. Continued use after a change means you accept the updated Terms.
